These Terms & Conditions ("Terms") govern your access to and use of the Nova Creations website (novacreations.online) and any services, products, or engagements offered by Nova Creations ("Nova Creations", "we", "us", or "our"). By using this website or engaging our services, you agree to these Terms.

We provide bespoke software design, engineering, and consulting services across EdTech, FinTech, HRTech, and adjacent domains. The specific scope, deliverables, timeline, and fees for each engagement are set out in a written Statement of Work ("SOW") or proposal, which forms part of the contract between you and Nova Creations. In case of conflict, the SOW prevails over these Terms.
Fees are quoted in the applicable SOW. Unless otherwise agreed in writing, fixed-scope projects are billed 50% at kickoff and 50% at delivery, and retainers are billed monthly in advance. All invoices are due within 14 days of issue. Late payments may attract a 2% monthly interest charge and may result in suspension of work.
You agree to provide timely feedback, decisions, access to systems and materials, and any content reasonably required for us to perform the services. Delays caused by outstanding client actions may extend the timeline and are not grounds for refund.
On full payment of all invoices, you receive an assignment of the intellectual property rights in the final deliverables produced specifically for you under the SOW. Nova Creations retains ownership of pre-existing frameworks, libraries, tools, and know-how used to produce the deliverables, and grants you a perpetual, royalty-free licence to use them as part of the deliverables.
Both parties agree to keep confidential information disclosed during the engagement confidential and to use it only for the purpose of the engagement. This obligation survives termination of the SOW.
We will perform the services with reasonable skill and care. Beyond this, and to the maximum extent permitted by law, our services and this website are provided "as is" without further warranties. Nova Creations' total liability under any engagement is limited to the fees paid by you to us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
Either party may terminate an engagement with written notice as specified in the SOW (30 days for retainers unless otherwise agreed). On termination you are liable for all work performed and costs incurred up to the effective date of termination.
Refunds, where applicable, are handled under our Refund Policy which is incorporated into these Terms by reference.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Akwa Ibom State, Nigeria.
We may update these Terms from time to time. Changes take effect when posted on this page. Continued use of the website or our services after changes are posted constitutes acceptance of the updated Terms.
